Report of Management
Management is responsible for preparing the Companys financial statements and the other information that appears in this annual report. Management believes that the financial statements fairly reflect the form and substance of transactions and reasonably present the Companys financial condition and results of operations in conformity with generally accepted accounting principles. Management has included in the Companys financial statements amounts that are based on estimates and judgments, which it believes are reasonable under the circumstances.
The Company maintains a system of internal accounting policies, procedures, and controls intended to provide reasonable assurance, at appropriate cost, that transactions are executed in accordance with Company authorization and are properly recorded and reported in the financial statements, and that assets are adequately safeguarded.
Deloitte & Touche LLP audits the Companys financial statements in accordance with generally accepted auditing standards and provides an objective, independent review of the Companys internal controls and the fairness of its reported financial condition and results of operations.
The Microsoft Board of Directors has an Audit Committee composed of nonmanagement Directors. The Committee meets with financial management, internal auditors, and the independent auditors to review internal accounting controls and accounting, auditing, and financial reporting matters.
